Art. 811 CO

1 Die Statuten können vorsehen, dass die Geschäftsführer der Gesellschafterversammlung: 1. bestimmte Entscheide zur Genehmigung vorlegen müssen; 2. einzelne Fragen zur Genehmigung vorlegen können.
2 Die Genehmigung der Gesellschafterversammlung schränkt die Haftung der Geschäftsführer nicht ein.
